Full job description

We are on the hunt for an experienced Securities Law Clerk to join our client’s Business Law team. This is a great opportunity to further develop your expertise in corporate finance and regulatory compliance within a top-tier legal environment.

What you will be doing:

- Draft brokered/non-brokered private placement financings including post-closing filings as required.
- Draft legal materials for prospectus offerings.
- Draft continuous disclosure documents.






- Searches utilizing SEDAR+ and EDGAR.
- Prepare and complete stock exchange, SEDAR, SEDI and NRD filings as required.
- Support all aspects of securities registrations and filings.
- Track critical dates and initiate follow-up action.
- Updating minute book information and filings for reporting.
- Advise on filing fee and participation fee calculations and filings.
- Serve as the primary liaison with clients, accountants, regulators, and other external parties as required.

What you will bring to the position:

- Minimum of two (2) years of professional experience as a Securities Law Clerk/Paralegal and a minimum of five (5) years of SEDAR+ and SEDI filing experience.
- Completion of post-secondary Law Clerk or Paralegal program.
- Proficient in Microsoft Office suite (Outlook, Teams, Word, Excel, etc.).
- Strong working knowledge of corporate finance transactions (including prospectus and private placement offerings), continuous disclosure requirements and registration and compliance related matters.






- Knowledge of Canadian securities laws and stock exchange rules and policies.
- Knowledge of US securities requirements considered an asset.
- Strong analytical and organizational skills with the ability to work both independently and as part of a team.
